Welcome to DentureProtect.com (the “Site”), operated by DentureProtect LLC (the “Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Site, our services, and any related applications or features (collectively, the “Services”). By accessing or using the Services, creating an account, or subscribing to our membership, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you (“you,” “your,” or “User”) and the Company. We may update these Terms from time to time, and the updated version will be effective as of the date posted. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that all information you provide is accurate, complete, and current. If you are using the Services on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.

The Services are available only to residents of the United States. Use of the Services outside the United States is at your own risk and may be subject to additional laws.

2. Description of Services

DentureProtect offers a subscription-based membership service that allows Users to store their denture designs digitally with us. For a monthly fee, members can request replacement dentures at a fixed price of $149 per replacement (plus any applicable shipping, taxes, or fees). Replacements are produced using our proprietary characterization process and are intended to be approximately 95% or more accurate to your existing dentures, provided you have completed our denture impression kit or ordered through one of our authorized partners.

The Services are designed for convenience and cost savings compared to traditional dental lab replacements. However, the Services are not a substitute for professional dental care, and we do not provide medical or dental advice, diagnosis, or treatment. The Services are not insurance, a qualified health plan under the Affordable Care Act, or any form of dental insurance. We are not responsible for the quality of dental care provided by third parties.

To use the replacement feature, you must first submit a valid denture design through our impression kit (available for purchase separately) or via an order from one of our partner dentists or labs. Without a valid design on file, replacements cannot be processed.

3. Membership and Subscription

Membership is available on a subscription basis for $7.99 per month (plus applicable taxes). Subscriptions are billed monthly in advance and automatically renew each month unless canceled.

Enrollment: To become a member, you must create an account on the Site, provide accurate personal and payment information, and complete the required steps, including submitting a denture impression kit or partnering order to store your design.
Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel prior to renewal. You authorize us to charge your payment method on file for the renewal fee.
Non-Transferable: Memberships are personal and non-transferable. You may not share your account or benefits with others.
Restrictions: Membership benefits apply only to replacements for dentures with designs on file. We reserve the right to refuse service or replacements if we suspect abuse, fraud, or non-compliance with these Terms.

4. Payments and Billing

All payments are processed through third-party payment processors (e.g., Stripe). By providing your payment information, you authorize us to charge your payment method for the subscription fee, replacement orders, impression kits, shipping, taxes, and any other applicable charges. You agree to the terms of service of our payment processors.

Billing Cycle: Subscriptions are billed monthly on the anniversary of your enrollment date.
Price Changes: We may adjust pricing for subscriptions or replacements with at least 30 days’ notice. Continued use after a price change constitutes acceptance.
Declined Payments: If a payment is declined, we may suspend your account until resolved. You are responsible for any fees incurred due to declined payments, including collection costs.
Taxes: You are responsible for all applicable sales, use, or other taxes on your purchases.
Currency: All charges are in U.S. dollars.

5. Cancellation and Termination

You may cancel your subscription at any time by logging into your account and following the cancellation process or by contacting us at support@dentureprotect.com. Cancellation will take effect at the end of your current billing period, and you will retain access to Services until then.

No Prorated Refunds: Upon cancellation, no prorated refunds will be issued for the remaining portion of the billing period.
Re-Enrollment Restriction: To prevent abuse (e.g., signing up only when a replacement is needed), you may not re-enroll in the Services for at least six (6) months after cancellation. We reserve the right to enforce this restriction.
Termination by Us: We may terminate or suspend your account at any time, with or without notice, for reasons including non-payment, violation of these Terms, suspected fraud, or any other reason in our sole discretion. Upon termination, you lose access to all benefits, and no refunds will be provided.
Effects of Termination: Stored denture designs may be deleted after termination, and you will no longer be eligible for replacements under the membership pricing.

6. Refunds

All subscription fees, replacement denture fees, impression kit purchases, and related charges are non-refundable, except as required by applicable law. We do not offer refunds for unused portions of subscriptions, partial months, or dissatisfaction with replacements, unless explicitly stated otherwise in a separate policy.

Exceptions: If a replacement denture is defective due to our manufacturing error (e.g., material failure), we may, at our discretion, provide a one-time remake at no additional cost. This does not apply to fit issues arising from changes in your oral health or inaccurate impressions.
No Returns for Replacements: Due to the custom nature of dentures, replacements are not returnable unless defective as described above.

7. Denture Replacement Process

To request a replacement:

Log into your account and submit a request.
Pay the $149 replacement fee (plus shipping/taxes).
Replacements are shipped within [estimated timeframe, e.g., 10-14 business days] after approval.

We use your stored design to produce replacements with our characterization, aiming for 95%+ accuracy. However, accuracy depends on the quality of your initial impression or partner order. Changes in your mouth (e.g., bone loss, gum changes) may affect fit, and we recommend consulting a dentist for adjustments.

8. Accuracy, Warranties, and Disclaimers

We strive for high accuracy in replacements, but we provide no guarantees or warranties regarding fit, comfort, durability, or performance. All Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Not Medical Advice: The Services do not constitute medical or dental advice. Consult a licensed dentist for all oral health needs. We are not responsible for any health outcomes from using our replacements.
Not Insurance: This is not dental insurance. You are responsible for all dental costs outside our Services.
Third-Party Partners: If using partners for impressions, you agree to their terms. We are not liable for partner actions.

9. User Obligations and Conduct

You agree to:

Provide accurate information and update it as needed.
Use the Services only for lawful purposes.
Not misuse the Services (e.g., fraudulent requests, reverse-engineering designs).
Comply with all applicable laws, including those related to medical devices.

Prohibited conduct includes abusing the subscription (e.g., frequent cancellations/re-enrollments), sharing accounts, or submitting false information.

10. Intellectual Property

All content on the Site, including designs, logos, and software, is owned by us or our licensors and protected by intellectual property laws. You grant us a non-exclusive, royalty-free license to use any denture designs or impressions you submit for providing the Services.

11. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the Services, including but not limited to loss of data, profits, or health issues. Our total liability shall not exceed the amount you paid us in the preceding six (6) months.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [Your State, e.g., Delaware], without regard to conflict of laws principles. Any disputes shall be resolved through binding arbitration in [City, State], except for small claims or injunctive relief. You waive any right to class actions.

14. Miscellaneous

Severability: If any provision is invalid, the remainder remains in effect.
